PinPop Terms of Service

Effective date: September 9, 2026

These Terms of Service ("Terms") are a binding agreement between you and PinPop, Inc. ("PinPop," "we," "us") governing your use of the PinPop app and related services (the "Service"). By creating an account or using the Service, you agree to these Terms, to our Community Guidelines, and to the practices described in our Privacy Policy.

PLEASE READ SECTION 14 CAREFULLY. It requires that disputes be resolved by individual binding arbitration and waives the right to bring or participate in a class action. You may opt out within 30 days as described there.

1. Eligibility

You must be at least 18 years old to use PinPop, and located in the United States unless you are an invited participant in our TestFlight beta program. Beta participation is free, by invitation, for testing purposes only, and does not include paid subscriptions outside the United States. By using the Service you represent that you are 18 or older. We use age signals and your date-of-birth attestation to enforce this, and we disable accounts we determine belong to minors.

2. Your account

You are responsible for your account, for keeping your sign-in credentials secure, and for all activity under your account. Provide accurate information and keep it current. You may not sell, transfer, or share your account.

3. Subscriptions and billing

Parts of the Service require a paid subscription. Subscriptions are billed through your Apple account, renew automatically until cancelled, and can be managed or cancelled in your Apple subscription settings. Cancellation takes effect at the end of the current billing period. Refunds are handled by Apple under Apple's terms. If we change subscription prices, the change applies at your next renewal after reasonable advance notice, and you may cancel before it takes effect.

4. License to use the Service

We grant you a personal, limited, non-exclusive, non-transferable, revocable license to use the app for its intended purpose. You may not copy, modify, distribute, sell, lease, reverse engineer, scrape, or data-mine the Service or its content, interfere with its operation or security, access it by automated means, or use it to build a competing product.

5. Your content

You own the content you create on PinPop (messages, photos, videos, posts, and profile information). So that we can operate the Service, you grant PinPop a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, and distribute your content within the Service, solely as needed to provide, secure, and improve the Service. This license ends when you delete your content or your account, except (a) content you shared with others that they retain, (b) public content already reshared within the Service, and (c) records we keep as described in the Privacy Policy. You are responsible for your content and must have the rights to post it.

6. Acceptable use and the Community Guidelines

Our Community Guidelines are part of these Terms and describe what is and is not allowed on PinPop, including rules specific to location sharing, voice calls, and riding conduct. Violations may result in content removal, feature restrictions, suspension, or permanent ban.

7. Safety; not for use while riding

PinPop is designed for motorcyclists and other people who meet up in the real world. Do not interact with the app while operating a motorcycle or any vehicle. Set up voice channels and location sharing before you ride, and follow all applicable laws, including hands-free and distracted-driving laws. Location, routing, and map data may be inaccurate, incomplete, or delayed; do not rely on them for safety-critical decisions. PinPop is not an emergency service and does not monitor calls, messages, or locations for distress. In an emergency, call 911.

Meeting people through PinPop carries the risks inherent in meeting strangers. Use judgment, meet in public places, and use the blocking and reporting tools described in the Community Guidelines.

Ride responsibly. PinPop does not condone reckless riding, excessive speed, stunting on public roads, or any conduct that endangers you or others. We may restrict, suspend, or permanently ban accounts for such conduct based on user reports, content you post, or other information available to us, at our discretion. We do not monitor riding in real time, cannot verify every report, and have no obligation to take action in any particular case; our enforcement decisions do not make PinPop responsible for how anyone rides. Journey statistics and leaderboards are for comparing rides, not an invitation to exceed speed limits or ride unsafely; you are solely responsible for complying with all traffic laws.

By joining a voice call, you consent to PinPop and its voice provider transmitting your audio in real time to the other participants. PinPop does not record calls; recording other participants without their consent violates the Community Guidelines and may be illegal.

8. Moderation and enforcement

We may review, screen, remove, or restrict content and accounts that violate these Terms or the Community Guidelines, and may investigate reports. Enforcement may include content removal, temporary suspension, or permanent ban. We keep records of enforcement actions as described in the Privacy Policy. If we take action against your content or account, you may appeal by contacting support at the address in Section 18; a person will review your appeal in good faith. We may preserve and disclose information as described in the Privacy Policy, including where required by law or where necessary to protect people's safety.

9. Privacy

Our collection and use of personal information is described in the PinPop Privacy Policy, which is incorporated into these Terms.

10. Copyright (DMCA)

We respect intellectual property and expect the same from users. If you believe content on PinPop infringes your copyright, send a notice containing the elements required by 17 U.S.C. § 512(c)(3) to copyright@pinpop.app or by mail to PinPop Inc at the address in Section 18. We respond to valid notices, including by removing content and, for repeat infringers, terminating accounts. If your content was removed by mistake or misidentification, you may submit a counter-notice under 17 U.S.C. § 512(g).

11. Third-party services

The Service uses third-party providers (for example, maps, routing, voice transport, and AI services) as described in the Privacy Policy, and may display content or links from third parties. Those providers' services are governed by their own terms, and we are not responsible for third-party services or content.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY OF LOCATION OR MAP DATA, AND UNINTERRUPTED OR ERROR-FREE OPERATION. SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

13. Limitation of liability; indemnification

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PINPOP AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, GOODWILL, OR SUBSTITUTE SERVICES, ARISING FROM OR RELATING TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, PINPOP'S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID PINPOP IN THE 12 MONTHS BEFORE THE CLAIM AROSE OR (B) ONE HUNDRED U.S. DOLLARS (US$100). THESE LIMITS DO NOT APPLY WHERE PROHIBITED BY LAW, AND NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED BY LAW.

You agree to indemnify and hold PinPop harmless from claims, damages, and expenses (including reasonable attorneys' fees) arising from your content, your use of the Service, or your violation of these Terms or of law, except to the extent caused by PinPop's own breach of these Terms.

14. Dispute resolution: individual arbitration and class-action waiver

Please read this section carefully. It affects your legal rights.

(a) Informal resolution first. Before filing any claim, you and PinPop agree to try to resolve the dispute informally. Either party may start this process by sending the other a written notice describing the dispute and the relief sought (to PinPop: legal@pinpop.app). The parties will negotiate in good faith for 60 days from the notice, and any statute of limitations is tolled during that period. Completing this step is a condition of starting arbitration.

(b) Binding individual arbitration. Except as provided in (d), any dispute arising out of or relating to these Terms or the Service will be resolved by final and binding arbitration before a single arbitrator, administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules in effect when the arbitration is filed (available at www.adr.org). The Federal Arbitration Act governs this Section. The arbitrator decides all issues except that a court decides issues of arbitrability, the enforceability of the class waiver in (c), and the mass-filing procedures in (e). Arbitration may be conducted by videoconference or, if in person, in the county where you live. PinPop will bear the arbitration fees to the extent the AAA Consumer Arbitration Rules require, and your filing fee will not exceed the amount those rules set for consumers.

(c) Class-action and jury waiver. You and PinPop each waive the right to a jury trial and the right to bring or participate in any class, collective, consolidated, or representative action, in court or arbitration. The arbitrator may award relief only in favor of the individual party and only as necessary to resolve that party's individual claim. This waiver does not apply to claims for public injunctive relief where such a waiver is prohibited by law; any such claim will be decided by a court after arbitration of all arbitrable claims.

(d) Exceptions. Either party may (i) bring an individual claim in small-claims court, and (ii) seek injunctive or other equitable relief in court for actual or threatened infringement or misuse of intellectual property, or unauthorized access to the Service.

(e) Mass filings. If 25 or more demands for arbitration raising similar claims are filed against PinPop with the assistance of coordinated counsel, the demands constitute a mass arbitration and will be administered under the AAA Mass Arbitration Supplementary Rules as modified here: the parties agree the demands will be resolved in staged proceedings, in which the AAA will first randomly select up to 25 demands per side to proceed as bellwether arbitrations while filing fees for the remaining demands are deferred; after the bellwethers conclude, the parties will mediate the remaining demands for 90 days, and if unresolved, further staged rounds of up to 25 demands per side will proceed under this subsection. A court may enforce or adjust these procedures, and any statute of limitations is tolled for deferred demands from the date the demand is filed until it proceeds.

(f) 30-day opt-out. You may reject this arbitration agreement (other than the jury-waiver-free small-claims and IP provisions) by emailing legal@pinpop.app within 30 days of first accepting these Terms, stating your name, account email, and intent to opt out. Opting out does not affect any other part of these Terms.

(g) Severability and blow-up. If any part of this Section is found unenforceable, the rest remains in effect, except that if the class-action waiver in (c) is found unenforceable as to a particular claim, this entire Section 14 (other than the jury waiver, where enforceable) is void as to that claim, which shall proceed in court. This Section applies to invited beta testers outside the United States only to the extent permitted by the mandatory law of your place of residence.

15. Governing law and venue

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules, except that the Federal Arbitration Act governs Section 14. Any claim proceeding in court will be brought in the state or federal courts located in San Francisco County, California, and the parties consent to their jurisdiction.

16. Termination

You may stop using PinPop and delete your account at any time in the app. We may suspend or terminate your access for violation of these Terms or the Community Guidelines, for risk to other users or the Service, or where required by law. Sections that by their nature should survive termination (including 5 (license tail), 10, and 12 through 15) survive.

17. Changes to these Terms

We may update these Terms. For material changes, we will provide notice in the app before the changes take effect. Your continued use after the effective date constitutes acceptance; if you do not agree, stop using the Service and delete your account. Changes to Section 14 will not apply to disputes for which either party has already provided a notice under 14(a).

19. Miscellaneous

These Terms, the Community Guidelines, and the Privacy Policy are the entire agreement between you and PinPop regarding the Service. If any provision (outside Section 14, which has its own rule) is unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets. Nothing in these Terms creates a partnership, employment, or agency relationship.
